BY - LAWS of SHORE HILLS COUNTRY CLUB
ARTICLE 1 --- Name
The name of this CLUB shall be SHORE HILLS COUNTRY CLUB
ARTICLE 2 --- Purposes
The purposes for which the CLUB is formed are:
To develop and maintain congenial, social and recreational
activities;
To establish and maintain the standards of "SHORE HILLS" on
Lake Hopatcong;
To create and endeavor to perpetuate a high standard at
"SHORE HILLS" on Lake Hopatcong
To promote health, welfare, pleasure, recreation, indoor and
outdoor sports, entertainment, congenial activities and good
fellowship among the members of the CLUB, and to furnish them with
reasonable facilities for the enjoyment of the properties at "SHORE
HILLS" on Lake Hopatcong;
To provide and maintain an adequate system of administration;
To provide for the care and maintenance of all CLUB
properties, now or hereafter owned, leased or otherwise acquired, and
for that purpose to establish proper costs, charges and assessments
that may now or hereafter be levied upon CLUB members;
To formulate rules and regulations and provide for the
enforcement thereof, for the use of all CLUB properties and
facilities now or hereafter owned, leased or otherwise acquired.
ARTICLE 3 --- Membership
Section 1. Those people who acquire or have acquired
ownership of property by deed in the SHORE HILLS section of Lake
Hopatcong, shall be eligible for membership in the SHORE HILLS
COUNTRY CLUB. Persons who contract or have contracted to purchase
property at SHORE HILLS on Lake Hopatcong shall be eligible for
membership in the SHORE HILLS COUNTRY CLUB. Any person becoming a
member of said CLUB agrees to abide by all rules and regulations of
the CLUB.
Section 2. Those people who acquire or have acquired
or contracted to acquire property by deed in the geographical area of
the Southern part of Lake Hopatcong are eligible for membership. This
Geographical area includes the towns of Landing, Mt. Arlington,
Hopatcong, Stanhope, Netcong, and Port Morris.
Section 3. Those people who contract to rent a boat
slip for the boating season April 1 - October 31 are not bound by the
restrictions of Sections 1, 2 above. It is required that they reside
in Morris or Sussex County.
Section 4. There shall be a membership committee,
which shall consist of the Board of Trustees. All applications for
membership are subject to approval by the Membership Committee. In
the event of the failure of the prospective members to obtain
approval of the majority of the Membership Committee, it shall serve
to deny to said prospective member the use of any facilities owned by
the CLUB.
Section 5. There shall be only three (3) classes of
membership; Active, Active Family and Associate. The following
provisions shall apply to such members; Active members shall consist
of those who acquire or have acquired property by deed in the SHORE
HILLS section of Lake Hopatcong. and those who have contracted to
purchase property in the SHORE HILLS section of Lake Hopatcong.
Active Family members shall consist of the members of the immediate
family of an active member in good standing. Immediate family shall
mean husband or wife, unmarried sons and daughters living under the
same roof with an active member in good standing. Joint owners shall
each be required to file separate applications for membership.
Ownership by husband and wife of any and all properties shall be
deemed to be a single active membership. Associate members shall
consist of all members included in Sections 2, 3 above, that do not
live or own property by deed in the SHORE HILLS section of Lake
Hopatcong.
Section 6a. House Guests; The Board of Trustees may,
in its discretion, grant the house guest (house guests shall mean
persons residing with or visiting a CLUB member and who pay no rent)
occupying premises of members in good standing, permission the use
facilities belonging to the CLUB, such privileges to be granted upon
such terms and conditions as the Board of Trustees may determine.
Section 6b. Rental Guests; Upon approval by the
Membership Committee of an appropriate application, the use of CLUB
property and facilities may be extended to persons renting or leasing
property or properties situate in the SHORE HILLS section of Lake
Hopatcong, subject to such regulations and rules as the Board of
Trustees may from time to time prescribe.
Section 7. None but Active members in good standing
shall be entitled to vote or hold office, except as in these by-laws
otherwise provided. Each Active member shall have one (1) vote.
Section 8. Membership in the CLUB may be terminated by
vote of the Board of Trustees.
Section 9. Upon termination for any reason of
membership in this CLUB, all CLUB privileges shall thereby cease.
Section 10. If any member shall be charged with conduct
deemed injurious or detrimental to the order, peace, interest or
welfare of the CLUB, or conduct unbecoming to a member or with
violation of these by-laws or rules and regulations or amendments
thereof, The Board of Trustees will consider the charge and a two
thirds (2/3) vote shall determine the truth thereof, and if a member
is found guilty of such charge or charges, it may censure, suspend or
terminate the membership of the person or persons charged.
ARTICLE 4 --- Rules and Regulations
Section 1. The Board of Trustees may from time to
time formulate and prescribe rules and regulations and the manner of
enforcement thereof with respect to the use of all CLUB properties,
facilities and activities. Each member of the CLUB shall be bound by
and shall conform to and abide by the by-laws, the amendments and
supplements thereto and all rules and regulations adopted from time
to time.
Section 2. The Board of Trustees, with the approval
of a majority vote, may reinstate any suspended or expelled member.
ARTICLE 5 --- Violations
Charges against any member as set forth in Section 10 of
Article 3 hereof, shall be upon written complaint, signed by five (5)
or more active members, and shall be voted upon in the manner
prescribed in section 10 of article 3.
ARTICLE 6 --- Records
The treasurer or such other person who may be appointed by the
Board of Trustees shall keep a record of all active members. The said
record, subject to the rules fixed by the Board of Trustees, shall
be open to inspection by any person having a lawful and proper
interest therein.
ARTICLE 7 --- Salaries
No officer unless expressly provided by the general membership,
will receive any salary or remuneration. Salaries or other vouchered
expenses may be paid to the employees of the CLUB, and the Treasurer.
ARTICLE 8 --- Meetings
Section 1a. The annual meeting of the active members of the
CLUB shall be held at the SHORE HILLS COUNTRY CLUB clubhouse on the
second Saturday of July of each year, at 8 o'clock P.M., but may be
adjourned by a majority vote of those present. No person not an
active member shall be present, unless such person is invited to
attend by the President or the Board of Trustees.
Section 1b. At such meeting the order of business will
be:
Minutes of Previous Annual Meeting;
Reports of Board of Trustees;
New Business;
Election of Board of Trustees.
Section 1c. Each active member shall be entitled to vote as
herein before provided.
Votes at the annual meeting may be cast in person only.
Section 2. Special meetings of the CLUB may be called
by the Board of Trustees, specifying the purpose and objects of the
meeting. No person not an active member shall be present at the
special meeting thereof, unless such person is invited by the Board
of Trustees.
Section 3. All meetings will be held at the SHORE HILLS
COUNTRY CLUB clubhouse.
Section 4. Unless otherwise provided herein, five (5)
days notice by mail shall be given of all meetings, addressed to the
members as their addresses appear on the books of the CLUB. The
Treasurer shall send all notices required to be given by these
by-laws.
Section 5. Ten (10%) per cent of the total active
members, in person, shall constitute a quorum for the conduct of
business at any regular or special meeting of the CLUB.
Section 6. Any notice by statute or by these by-laws
required to be given to a member may be waived by such member, if in
writing and signed.
Section 7. The Board of Trustees will meet the Third
Tuesday of each month and the First Tuesday of the months of June,
July, August, and September. The meeting will start at 8 P.M.
ARTICLE 9 --- Board of Trustees --
Officers
Section 1. The Board of Trustees (Officers) of this CLUB
shall be a President, a Vice-President, a Secretary, a Treasurer, a
Mens Club Advisor, a Womens Club Advisor, a Boat/Dock Manager, a
Beach Manager, a Swim Team Parents Club Advisor, a Lifeguard Manager
and a Clubhouse/Bar Manager. Other active members can be assistants
on the Board as deemed necessary. Each of these persons must be an
active member in good standing. Board members shall hold office for
one (1) year and until their successors are elected and qualify. A
person may be re-elected and may hold more than one (1) position.
A member can become a Board Member by applying to the existing Board
or by being invited by a Board Member to apply for Board membership
The existing Board can approve an application with a two-thirds (2/3)
approval vote. The active membership can also approve an application
with a simple majority vote.
Section 2. A Board of Trustee member can be removed by
a simple majority vote of the Board of Trustees. A Board member can
also be removed by a simple majority vote of the active membership.
A replacement Board member must be nominated at the same meeting an
existing Board member is removed.
Article 10 --- Duties of Officers of the
Board
Section 1. The President shall preside at all meetings of
the CLUB and shall administer all laws and regulations of the CLUB,
with the assistance of the Board of Trustees.
Section 2. The President or Vice-President shall, with
the Secretary or Assistant Secretary, sign all written contracts and
all other written obligations of the CLUB, excepting checks and
drafts of the CLUB, which shall also be signed for by the Treasurer.
Section 3. The President may appoint such Committees
from the membership as shall be deemed necessary.
Section 4. In the absence or the incapacity of the
President, the Vice-President shall perform these duties. In the
absence or incapacity of both, the remaining Board of Trustees may
delegate a Board member to perform these duties.
Section 5. The Secretary shall keep the minutes and
other official reports of the CLUB and shall perform such duties as
the Board assigns. The Secretary shall also have custody of the seal
and shall affix same to any documents whenever required by law or by
order of the Board of Trustees.
Section 6. The Treasurer shall have custody of all
funds of the CLUB and shall disburse same according to the directions
of the Board of Trustees, but no payment shall be made unless by
receipted bill, which shall also include gratuities. They will also
perform the usual duties required of and associated with the office
of Treasurer.
Section 7. The Board of Trustees shall require the
furnishing of a bond in such amount as it deems necessary by all
officers and employees who handle CLUB funds, the premiums for such
bonds to be paid by the CLUB.
Section 8. All disbursements in behalf of the CLUB
shall be by check. All checks shall be signed by any two (2) officers
authorized and designated by the Board of Trustees or other persons
authorized by resolution of the Board of Trustees.
Section 9. The Board of Trustees, whenever required,
may authorize and designate such officers as may be required or
deemed desirable and for the good of the CLUB to execute and deliver
any documents, contracts, leases, deeds, mortgages, certificates,
bonds, notes or any other legal instructions of title or financial or
other obligations of the CLUB, in accordance with Article 11 below
and any other rule or regulation.
Section 10. A majority of the Board of Trustees may
employ the President to engage counsel for such periods as may be
deemed for the best interests of the CLUB, and to fix compensation
for such service.
Section 11. The Board of Trustees may also authorize
the officers to employ such assistants as they deem necessary to
carry on efficiently the activities and other functions of the CLUB
and to designate their duties. They may recommend to the general
membership the compensations to be paid therefor, which
compensations, however, shall only be voted at the regular or special
meeting called for that purpose, and on a vote of a majority of the
active members present.
Section 12. The Board of Trustees may from time to time
appoint from the CLUB membership such committees as may be deemed
advisable or desirable for administration purposes or the welfare of
the CLUB.
Section 13. INDEMNIFICATION. Indemnity of Board of
Trustees. Each Board member and his or her heirs, executors, and
administrators shall be indemnified by the corporation against
expenses and liability reasonably incurred by him or her, imposed on
him or her in connection with or arising out of any action, suit, or
proceeding whether based on common law, law of any state, or the law
of the United States to which he or she were made party by reason of
his or her being an Officer of this corporation except in relation to
matters as to which he or she shall be finally adjudged in such
action, suit or proceeding to be liable because of negligence or
misconduct in the performance of his or her duties as such Officer.
The foregoing rights shall not be exclusive of any of the rights to
which any Officer may or might be entitled to as a matter of law or
otherwise and shall be available whether or not an Officer continues
to be such at the time of incurring such expenses and liabilities.
ARTICLE 11 --- Ownership of CLUB Property
Title of all property of the CLUB shall be held in the name
of the CLUB. Any conveyance of property shall be made in the name of
the CLUB by the President and attested by the Secretary, or in the
absence of these officers, by those delegated to perform such duties
as elsewhere in these by-laws may be provided. None of the property
of the CLUB shall at any time nor for any reason whatsoever, be sold,
pledged, mortgaged or encumbered in any sum whatsoever, or through
any means, unless it is by recommendation of the Board of Trustees of
the CLUB, which recommendation must first be approved by no less than
two thirds (2/3) of the Board of Trustees, and after such approval of
the recommendation of the Board of Trustees, no less that sixty six
(66%) per cent of the active membership of the CLUB shall, at a
special meeting called for that specific purpose, approve the sale,
mortgage or encumbrance of any of the property of said CLUB. This
Article shall not at any time be altered or amended without unanimous
approval from the Board of Trustees and ninety (90%) per cent
approval from the active membership.
ARTICLE 12 --- Amendments
These By-Laws, other than as provided in Article 11 herein,
may be amended at the annual meeting or at any special meeting called
for that purpose by two thirds (2/3) of all active members present,
or by a majority of the total active membership, whichever shall be
the greater number, provided first that written notice of the
proposed amendments shall be submitted to the Board of Trustees at a
regular or special meeting and the same is approved by not less than
two thirds (2/3) of the Board then present; and provided second that
notice of the proposed amendments after approval by the Board of
Trustees, shall be posted in a conspicuous place in the office of the
CLUB or at the bulletin board at the beach, or some other suitable
place, at least ten (10) days before the date of the meeting of the
CLUB at which same is to be submitted; and provided third that a copy
of the proposed amendment is sent to each active member of the CLUB,
together with a notice of the meeting called for the purpose of
amending the By-Laws.
ARTICLE 13
Anything to the contrary notwithstanding, these by-laws are
subject to an agreement to which each member subscribes and hereby
ratifies and approves with the same force and effect as if he or she
had subscribed and executed personally said agreement. A true copy of
said agreement is hereunto annexed and made part of these by-laws.
ARTICLE 14
These by-laws are an update of the original by-laws adopted
August 2, 1951, and the revision/update
adopted July 14, 1956. These by-laws take in account any and all of
the changes and amendments made since the earlier versions.
RULES AND REGULATIONS
Governing Maintenance of Facilities
SHORE HILLS COUNTRY CLUB
Dated July 15 1997
1. Membership cards shall be issued to each member and their
families. No cards shall be transferred to any one eligible for
membership. In the event that a card is transferred, the original
card owner will be warned one (1) time, and any repeat incidents can
result in cancellation of membership at the discretion of the Board
of Trustees.
2. No membership cards will be issued unless current dues are
paid.

The Boat Membership Fee when paid by 2/15 will reserve a slip
(if available) for the member until 4/1 by which the Slip Fee
must be paid in full or the slip can be rented to another member.
4. In the event that any member or their guests , conduct
themselves in such manner , or misuse of the facilities, and are
deemed to be objectionable, to the best interests of the CLUB, by the
Head Lifeguard, Lifeguard Manger, Beach Manager, or any member of the
Board of Trustees, they shall be removed from the beach or
facilities. In the event that said member or their guest or guests
continue in an objectionable manner, charges shall be preferred
against said member or members and shall be acted upon in accordance
with Section 10, Article 3, of the By-Laws.
5. In the event a membership card is lost, same shall be
replaced, upon payment of $5.00 to the treasurer. Anyone finding lost
membership cards and attempting to use same as their own, shall have
said card confiscated.
6. Guests must be signed in by the member by asking the Gate
Guard or a lifeguard for the Guest Signin sheet. Only adult members
can sign in a guest. Guests that live in the membership geographical
area are permitted one guest visit only. If they wish to return, they
must become members. Guests that live outside the membership
geographical area are allowed unlimited visits when accompanied by a
member. The member is ultimately responsible for the conduct of their
guests.
SHORE HILLS COUNTRY CLUB BEACH
Rules and Regulations
1. Membership cards are to be carried by a member for all members
in their group. Cards do not have to be worn but should be available
for display upon request from a guard, Guard Manager, or Beach
Manager.
2. Dogs, or other pets, are not permitted on the beach, or
picnic area. Boaters bringing their pets with them are not allowed to
let the pet relieve itself on beach property before they leave or
upon their return.
3. Bottles are not permitted on the beach without a
protective holder.
4. No ball playing on the beach or in the wading area of the
water.
5. Non-swimmers are not permitted on the docks unless
accompanied by an adult swimmer. Children under the age of
twelve(12) years old are required to have earned a Dock Badge in
order to be allowed on the docks.
6. Diving is at your own risk.
7. No bicycles are permitted on the beach, or docks.
8. No running or playing on the docks.
9. Obstructions are not permitted on the docks.
10. Fishing is not permitted on the swimming area docks or
either swim platform or the diving platform during the hours of 11
am. to 8 PM. when the beach is open. No fishing is permitted from
said docks or platforms during a swim meet. Fishing in any swim area
is not permitted when the beach is open unless it is during the
Fishing Derby. Fishing is not permitted from any boat or slip unless
it is the members assigned boat slip.
11. The lifeguard may at their discretion restrict swimming
in any area, and remove any person from the beach and swimming area
for any reason of misconduct.
12. Parents shall be responsible for damages to Country Club
property by their children. Membership privileges will be revoked
for non-payment of damages, as well as for conduct of children deemed
detrimental to the best interests of the membership. A majority vote
of the Board of Trustees present at a meeting shall be sufficient to
revoke such privileges after presentation of charges and a hearing
before said Board, to which all parties involved shall be present.
13. Any other rules and regulations posted at the beach are
applicable.
SHORE HILLS COUNTRY CLUB DOCKING FACILITIES
RULES AND REGULATIONS
1 -- Boat docking fee must be paid not later than March 31
of each year, to assure reservation of the same
slip for the ensuing year. First year boaters will be required to pay
a Boat Initiation fee
of $200.00.
2 -- Each boater will be assigned a slip. They will
only dock their boat in this assigned slip. If they
want to change their slip, they must obtain approval from the Boat
Manager. Repeat boaters will be assigned the same
slip as the previous year unless they inform the Boat Manager that
they want a different slip.
3 -- No boat will be launched and docked without full
payment of Slip fees, unless prior arrangements have
been made with the Boat Manager and agreed to in writing.
4 -- Boat slips are assigned with preference given to
repeat boaters that have paid their Membership fee
before 2/15.
5 -- All boaters will be given a key to the lock on the
drive through gate at the southern end of the
beach. If they lose the key there is a $5.00 charge for
another key. These keys are not to be
duplicated by the boaters and distributed to other people. The lock
will be periodically be changed before
boating season begins. Boaters will be notified of this at a meeting
for this purpose and issued a new key.
